Terms of Service

1. Acceptance of Terms
By accessing or using the CopilotCart platform, including the website at copilotcart.com, all related subdomains, merchant administration tools, storefronts, APIs, and AI copilot features (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
CopilotCart is an e-commerce platform that enables merchants to create and manage online stores. The Service includes store hosting, product catalog management, order processing, payment integration, AI-powered copilot features (including setup assistance, analytics, product descriptions, translations, customer support, and smart search), and related tools and services.
3. Account Registration
To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.
4. Subscription and Payment
- Plans and pricing: The Service is offered under subscription plans as described on our pricing page. We reserve the right to modify pricing with 30 days’ prior notice.
- Free trial: New accounts may include a free trial period. At the end of the trial, your subscription will continue at the applicable plan rate unless you cancel before the trial ends.
- Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your payment method on file for all applicable fees.
- Taxes: Subscription fees do not include applicable taxes. You are responsible for all taxes associated with your use of the Service, except for taxes based on our net income.
- Failed payments: If a payment fails, we will attempt to process the charge again. If payment remains unsuccessful after a grace period of 14 days, your account access may be suspended until payment is resolved.
- Refunds: Subscription fees are non-refundable except as required by applicable law. If you cancel during a billing period, you will retain access to the Service until the end of that period, but no refund will be issued for the remaining time.
5. Cancellation
You may cancel your subscription at any time through your dashboard. Upon cancellation, your access to the Service will continue until the end of your current billing period. After that, your store will be deactivated. We recommend exporting your data before cancellation.
We reserve the right to suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that is harmful to other users or the platform.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Sell illegal, counterfeit, stolen, or prohibited products or services.
- Infringe on the intellectual property rights, privacy rights, or other rights of any third party.
- Distribute malware, viruses, or any other harmful code.
- Engage in fraudulent, deceptive, or misleading practices.
- Harass, abuse, threaten, or discriminate against any person.
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent.
- Resell, redistribute, or sublicense the Service without our written authorization.
We reserve the right to determine, in our sole discretion, whether your use violates these restrictions and to take appropriate action, including account suspension or termination.
7. Your Content
You retain ownership of all content you upload, submit, or create through the Service (“Your Content”), including product listings, images, descriptions, and store customizations. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and process Your Content solely for the purpose of providing and improving the Service.
You represent that you have all necessary rights to Your Content and that it does not violate any law or infringe any third-party rights. You are solely responsible for Your Content and any consequences of sharing it through the Service.
8. AI-Powered Features
The Service includes AI-powered copilot features that generate content, provide recommendations, and automate tasks. AI-generated content is provided on an “as is” basis. While we strive for accuracy, AI outputs may contain errors, inaccuracies, or inappropriate content. You are responsible for reviewing, editing, and approving all AI-generated content before publishing it on your store.
We do not guarantee that AI-generated content is free from intellectual property issues. You assume responsibility for ensuring that content used on your store complies with all applicable laws and does not infringe third-party rights.
9. Intellectual Property
The Service, including its software, design, architecture, documentation, branding, and all related intellectual property, is owned by CopilotCart and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it as described herein.
You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works based on any part of the Service without our prior written consent.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICE, INCLUDING SALES VOLUME, REVENUE, CONVERSION RATES, SEARCH ENGINE RANKINGS, OR PAGESPEED SCORES. ANY PERFORMANCE METRICS REFERENCED IN OUR MARKETING MATERIALS ARE ILLUSTRATIVE AND NOT GUARANTEED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COPILOTCART, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless CopilotCart and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) products or services you sell through the Service; (d) your violation of these Terms; or (e) your violation of any law or third-party rights.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in the state of Delaware, and the arbitrator’s decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.
15. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We may also update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CopilotCart regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
